Terms of Service¶

These Terms of Service ("Terms") govern your access to and use of the Askalot platform and services. By accessing or using the Services, you agree to be bound by these Terms.
The essential bargain: Askalot OS is free for anyone to use, for any purpose, with no eligibility test — and it is provided strictly as-is, with no warranty, no service level, and no support commitment (Sections 5.1, 6 and 9). If you need someone contractually accountable, that is available under a separate paid agreement (Section 5.2). Read Sections 9 and 10 carefully: they define what is and is not promised.
1. Definitions¶
- "Askalot", "we", "us", or "our" refers to Askalot Survey & Research Kft., a company registered in Hungary (company registration number 01-09-453389; EU VAT number HU32994069), with its registered seat at H-1036 Budapest, Bécsi út 85., Hungary.
- "Customer" or "you" refers to the organization or individual using the Services under these Terms.
- "Services" refers to the Askalot platform, including all features, applications, and APIs.
- "Free Services" means use of the Services without payment, as described in Section 5.1.
- "Paid Services" means Services provided under a Service Agreement, as described in Section 5.2.
- "Service Agreement" means a separate written agreement signed between you and Askalot governing Paid Services.
- "Tenant" refers to the platform environment in which your account resides. Unless your Service Agreement provides for a dedicated deployment, this is a shared environment in which your data is separated logically by organization and project, not by dedicated infrastructure.
- "Survey Data" refers to responses, participant information, and other data collected through surveys.
- "Users" refers to individuals authorized by the Customer to access the Services.
2. Account Registration and Access¶
2.1 Eligibility¶
You must be at least 18 years old. You may register as an individual on your own behalf, or on behalf of an organization — in the latter case you represent that you have the legal authority to bind that organization to these Terms. By registering, you represent that all information provided is accurate and complete.
There is no eligibility restriction on the Free Services: they are available for commercial and non-commercial use alike, and we do not condition free access on your funding, sector, or institutional affiliation.
2.2 Account Security¶
You are responsible for:
- Maintaining the confidentiality of login credentials
- All activities that occur under your account
- Notifying us immediately of any unauthorized access
- Ensuring Users comply with these Terms
2.3 Shared and Dedicated Environments¶
Unless your Service Agreement provides for a dedicated deployment, your account resides in a shared environment. Your data is separated from other customers logically — by organization and project scoping — rather than by dedicated infrastructure. Dedicated, physically separated environments are available only as Paid Services under Section 5.2.
You agree not to attempt to access any other customer's data or resources, in either arrangement.
3. Permitted Use¶
3.1 License Grant¶
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services. This license applies to the Free Services for as long as you comply with these Terms, and to Paid Services for the term set out in your Service Agreement.
3.2 Acceptable Use¶
You agree to use the Services only for lawful purposes and in accordance with these Terms. You shall not:
- Use the Services to collect data in violation of applicable laws
- Distribute malware, spam, or harmful content
- Attempt to gain unauthorized access to any systems
- Reverse engineer, decompile, or disassemble the Services
- Use the Services to harass, abuse, or harm others
- Collect sensitive personal data without appropriate consent
- Place a load on the shared platform that materially degrades it for other users
3.3 Survey Content¶
You are solely responsible for the content of your surveys and ensuring they comply with applicable laws, including data protection regulations.
4. Data Ownership and Rights¶
4.1 Your Data¶
You retain all rights to your Survey Data. We do not claim ownership of data you collect through the Services.
4.2 License to Process¶
You grant us a limited license to process your data solely to provide the Services, including:
- Storing and backing up data
- Processing survey responses
- Generating analytics and reports
- Providing technical support
4.3 Aggregated Data¶
We may use anonymized, aggregated data that does not identify you or your respondents for service improvement and research purposes.
5. Free Services and Paid Services¶
5.1 Free Services¶
The Services are available free of charge. There is no trial period, no payment card requirement, and no eligibility test — Free Services are open to commercial and non-commercial use alike.
In exchange, Free Services are provided strictly as-is:
- No warranty of any kind (Section 9.2)
- No service level commitment — no uptime guarantee, and no obligation to restore service within any period (Section 6.1)
- No support commitment — we may answer questions, but we are not obliged to (Section 6.2)
- No liability for any loss arising from your use of them (Section 10.1)
We may modify, suspend, limit, or discontinue the Free Services, in whole or in part, at any time and without notice or liability. We will make reasonable efforts to give advance notice of a permanent discontinuation and to allow you to export your data, but we do not guarantee it.
Nothing in this Section prevents you from using the Free Services for funded, commercial, or client work. It means only that if you do, you do so without any of the assurances listed above.
5.2 Paid Services¶
Paid Services exist for the case the Free Services deliberately do not cover: when you need a party that is contractually accountable.
Paid Services are provided only under a separate written Service Agreement signed between you and Askalot Survey & Research Kft. There is no self-service purchase path; no payment obligation arises from these Terms alone. A Service Agreement may, depending on what is agreed, include:
- Defined responsibilities and obligations on our side
- Ownership and licensing arrangements for agreed deliverables and results
- Warranties, availability commitments, and a service level agreement
- Support with agreed response times
- A dedicated single-tenant deployment, in a cloud of your choosing or on your own premises
Where a Service Agreement conflicts with these Terms, the Service Agreement prevails for that Customer and for the scope it covers. These Terms continue to govern everything the Service Agreement does not address.
5.3 Payment Terms¶
Fees, invoicing, and payment schedule are set out in your Service Agreement. Unless that agreement states otherwise:
- Fees are due in advance for the agreed period
- Fees already paid are non-refundable except as required by law or as expressly agreed
- Changes to recurring fees take effect no earlier than 30 days after written notice, and never within a period already paid for
Invoices are issued by Askalot Survey & Research Kft. in accordance with Hungarian invoicing law.
5.4 Taxes¶
Fees are exclusive of applicable taxes, including VAT. You are responsible for all taxes associated with your use of the Paid Services, other than taxes on our income.
6. Service Level and Support¶
6.1 Availability¶
For Free Services, we make no availability commitment whatsoever. The Services may be unavailable, interrupted, or discontinued at any time. Do not use the Free Services for work that cannot tolerate this.
For Paid Services, availability is governed by your Service Agreement. Where that agreement specifies a service level, that commitment — and only that commitment — is binding on us.
We aim to communicate scheduled maintenance in advance for all users, but for Free Services this is a courtesy, not an obligation.
6.2 Support¶
For Free Services, support is not guaranteed. Any assistance we provide is a courtesy and creates no obligation or expectation of future assistance.
For Paid Services, support scope and response times are governed by your Service Agreement.
6.3 Updates¶
We may update the Services at any time. We will provide notice of material changes that adversely affect Paid Services as set out in the relevant Service Agreement, and will make reasonable efforts to give notice of material changes affecting Free Services.
7. Intellectual Property¶
7.1 Our Rights¶
The Services, including all software, designs, and documentation, are owned by Askalot and protected by intellectual property laws.
7.2 Feedback¶
If you provide suggestions or feedback, we may use them without obligation to you.
7.3 Trademarks¶
Askalot and related marks are our trademarks. You may not use them without prior written consent.
8. Confidentiality¶
8.1 Confidential Information¶
Each party agrees to protect the other's confidential information with the same degree of care used for its own confidential information.
8.2 Exceptions¶
Confidentiality obligations do not apply to information that is publicly available, independently developed, or rightfully received from third parties.
9. Warranties and Disclaimers¶
9.1 Warranties for Paid Services¶
We give warranties only where a Service Agreement expressly sets them out, and only to the Customer that signed it. Where a Service Agreement warrants that the Services will perform materially as described in the documentation, that warranty is binding on us for its stated term and scope.
9.2 No Warranty for Free Services¶
THE FREE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE", WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WITHOUT LIMITATION ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE FREE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR THAT DATA WILL NOT BE LOST.
No statement on our website, in our documentation, or made by any person acting for us creates a warranty for the Free Services. A warranty arises only through a signed Service Agreement.
9.3 Scope of Formal Verification¶
The Services apply automated formal verification (SMT solving) to questionnaire logic. This is a real mathematical result, and it is a bounded one. What is verified is the logical model of the questionnaire — properties such as item reachability, the satisfiability of preconditions, absence of contradictory conditions, and termination.
Formal verification does not establish, and we do not represent, that:
- Your research design, sampling strategy, or methodology is sound
- Your questions are well-worded, unbiased, or appropriate for your population
- Your results are statistically valid or your conclusions correct
- The questionnaire complies with any legal, ethical, or regulatory requirement applicable to your research
Verification is a check on the logic you wrote, not a substitute for methodological or ethical judgement. Responsibility for the research remains yours.
9.4 AI-Generated Output¶
The Services include AI-assisted features that generate questionnaires, simulated responses, analyses, and written summaries. AI output may be inaccurate, incomplete, or misleading, and must be reviewed by a competent human before use. We do not warrant the accuracy or fitness of AI-generated output, in the Free Services or, unless expressly stated, under a Service Agreement.
Where you supply your own AI provider credentials, your use of that provider is governed by your agreement with them, and their processing of your data is outside our control.
10. Limitation of Liability¶
10.1 Free Services¶
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ACCEPT NO LIABILITY FOR ANY LOSS OR DAMAGE ARISING FROM YOUR USE OF THE FREE SERVICES, INCLUDING LOSS OF DATA, LOSS OF RESEARCH OUTPUT, OR COSTS OF PROCURING SUBSTITUTE SERVICES. THE FREE SERVICES ARE PROVIDED WITHOUT CHARGE AND WITHOUT ASSURANCE; IF YOU REQUIRE A REMEDY, YOU REQUIRE A SERVICE AGREEMENT.
10.2 Paid Services¶
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING FROM PAID SERVICES SHALL NOT EXCEED THE FEES PAID BY YOU UNDER THE RELEVANT SERVICE AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, UNLESS THAT AGREEMENT SPECIFIES A DIFFERENT LIMIT.
10.3 Exclusions¶
TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES.
10.4 Liability That Cannot Be Excluded¶
Nothing in these Terms excludes or limits our liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, for intentional or grossly negligent breach, or for any other liability that cannot lawfully be excluded or limited. Where you deal with us as a consumer, your mandatory statutory rights are unaffected by these Terms.
11. Indemnification¶
If you use the Services in the course of a business or profession, you agree to indemnify and hold us harmless from third-party claims arising from:
- Your use of the Services
- Your Survey Data and survey content, including the lawfulness of your collection and processing of personal data
- Your violation of these Terms
- Your violation of any third-party rights
This Section does not apply to you where you use the Services as a consumer; in that case your liability to us is limited to what applicable law provides.
12. Term and Termination¶
12.1 Term¶
These Terms are effective until terminated by either party.
12.2 Termination for Convenience¶
Free Services. You may stop using them and delete your account at any time. We may suspend or terminate a free account at any time, with or without cause and without notice — though we will make reasonable efforts to give notice and an opportunity to export your data where circumstances allow.
Paid Services. Either party may terminate as set out in the Service Agreement, or, if that agreement is silent, with 30 days' written notice.
12.3 Termination for Cause¶
Either party may terminate immediately if the other materially breaches these Terms and fails to cure within 30 days of written notice. We may suspend access immediately and without notice where continued access presents a security, legal, or platform-integrity risk.
12.4 Effect of Termination¶
Upon termination:
- Your access to the Services will be disabled
- Paid Services: you may export your data for 30 days following termination
- Free Services: we will make reasonable efforts to allow an export period, but do not guarantee one — export data you care about before terminating
- We will delete your data after the applicable period unless legally required to retain it
Sections 4 (Data Ownership), 7 (Intellectual Property), 8 (Confidentiality), 9 (Warranties and Disclaimers), 10 (Limitation of Liability), 11 (Indemnification), and 13 (General Provisions) survive termination.
13. General Provisions¶
13.1 Governing Law¶
These Terms are governed by the laws of Hungary, without regard to conflict of law principles.
13.2 Dispute Resolution¶
We ask that you contact us first — most disputes are resolved faster that way than through any formal process.
Business customers. The courts of Hungary have exclusive jurisdiction over any dispute arising from these Terms or the Services.
Consumers. If you use the Services as a consumer, nothing here deprives you of the protection of the mandatory law of your country of residence, and you may bring proceedings in the courts of that country. You may also refer a dispute to the competent Hungarian conciliation board (békéltető testület) attached to the county chamber of commerce for our registered seat.
Either party may seek injunctive or interim relief from any court of competent jurisdiction.
13.3 Entire Agreement¶
These Terms, together with our Privacy Statement, Cookie Policy, Data Processing Agreement, and any applicable Service Agreement, constitute the entire agreement between you and Askalot. In the event of conflict, a signed Service Agreement prevails over these Terms for the Customer and scope it covers.
13.4 Modifications¶
We may modify these Terms by posting an updated version with a revised "Last Updated" date. For changes that materially affect your rights, we will make reasonable efforts to give advance notice — by email to account holders, or by notice within the Services. Continued use after a change takes effect constitutes acceptance; if you do not accept a change, your remedy is to stop using the Services and, for Paid Services, to terminate as provided in your Service Agreement.
13.5 Severability¶
If any provision is found unenforceable, the remaining provisions remain in effect.
13.6 Assignment¶
You may not assign these Terms without our consent. We may assign our rights and obligations freely.
13.7 No Waiver¶
Failure to enforce any provision does not constitute a waiver of that provision.
